This Brand Ambassador/Affiliate Agreement ("Agreement") is entered into by and between Robe Kimono ("Company") and the Brand Ambassador/Affiliate ("Affiliate"), collectively referred to as the "Parties."

1. Introduction Robe Kimono offers a unique opportunity for individuals to promote and sell our products through personalized shops, referral links, and promo codes. This Agreement outlines the terms and conditions governing the relationship between the Company and the Affiliate.

2. Enrollment To become an Affiliate, you must complete the application process. Upon approval, you will gain access to your personalized shop, referral links, promo codes, and other affiliate tools.

3. Affiliate Responsibilities

• Promotion: The Affiliate will actively promote Robe Kimono's products using the tools provided, including the personalized shop, referral links, and promo codes.
• Content Creation: The Affiliate may add photos and videos showcasing Robe Kimono's products in their personalized shop to enhance conversions.
• Compliance: The Affiliate agrees to comply with all applicable laws and regulations in their promotional activities.

4. Commissions and Payments

• Commission Rate: The Affiliate will earn a standard commission of 15% on all qualifying sales made through their referral links or promo codes.
• Commission Increases: Opportunities to increase commissions will be available based on promotional products and milestones achieved. The Company will notify the Affiliate of new reward opportunities.
• Payment: Commissions will be paid via the payment method chosen by the Affiliate. Payments will be made on a monthly basis, provided the Affiliate's earnings have reached the minimum payout threshold.

5. Order Fulfillment and Customer Service Robe Kimono will handle all aspects of order fulfillment, including product delivery and customer service. The Affiliate is not responsible for these functions.

6. Affiliate Shop

• Personalized Shop: The Affiliate will receive a personalized shop to showcase their favorite Robe Kimono products. The Affiliate can customize their shop with content such as photos and videos to enhance customer engagement.
• Shop Management: The Affiliate is responsible for maintaining their shop and ensuring that all content is accurate and up-to-date.

7. Intellectual Property The Affiliate is granted a limited, non-exclusive, revocable license to use the Company's trademarks, logos, and promotional materials for the sole purpose of promoting Robe Kimono's products. The Affiliate agrees not to modify, alter, or misuse any of the Company's intellectual property.

8. Term and Termination

• Term: This Agreement will commence upon approval of the Affiliate's application and will continue until terminated by either Party.
• Termination: Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party. Upon termination, the Affiliate will immediately cease using all of the Company's intellectual property and promotional materials.

9. Limitation of Liability The Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the Affiliate's participation in the program.

10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state in which Robe Kimono is headquartered, without regard to its conflict of laws principles.

11. Entire Agreement This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations.

12. Amendments The Company reserves the right to modify or amend this Agreement at any time. The Affiliate will be notified of any changes, and continued participation in the program will constitute acceptance of the modified terms.

By joining the Robe Kimono Brand Ambassador/Affiliate Program, you agree to the terms and conditions outlined in this Agreement.
